Terms of Service

These Terms of Service ("Terms") govern your access to and use of Validly (the "Service"). By registering for or using the Service, you agree to these Terms. If you use the Service on behalf of an organisation, you confirm you are authorised to bind that organisation.

1. The Service

Validly is a proof-readiness platform that helps you track, request, share, and manage business documents. We may update, improve, or change features over time.

2. Eligibility and accounts

You must be at least 18 years old and provide accurate information. You are responsible for keeping your account credentials secure, for all activity under your account, and for the users you invite. Tell us promptly if you suspect unauthorised access.

3. Your data and content

You retain ownership of the documents and information you add to the Service ("Your Data"). You grant us a limited, non-exclusive licence to host, process, and display Your Data solely to provide and support the Service to you. We do not use Your Data to train AI models.

4. Responsibility for personal information you add

Where you add information about other individuals, you confirm that you are entitled to do so and that you will use the Service in compliance with applicable privacy laws, including obtaining any necessary consents.

5. Acceptable use

You agree not to:

  • upload false, misleading, or fraudulent documents, or impersonate another person or business;
  • access accounts, data, or areas of the Service you are not authorised to access;
  • interfere with, disrupt, or attempt to compromise the security of the Service;
  • reverse engineer, scrape, or copy the Service except as permitted by law; or
  • use the Service for any unlawful purpose.

6. Not advice or certification

The Service helps you organise and present document proof. It does not verify documents against any authority, does not certify compliance, and does not provide legal, regulatory, insurance, tax, employment, or safety advice. You remain responsible for your own compliance obligations and should verify documents and requirements independently.

7. Reminders and notifications

Reminders, alerts, and notifications are provided as a convenience only. We do not guarantee that any notification will be sent, delivered, received, or timely, and they do not satisfy any legal or regulatory obligation on your part. You and your organisation remain responsible for monitoring your own document validity and expiry dates.

8. Availability

The Service is provided on an "as is" and "as available" basis. We do not guarantee that it will be uninterrupted, error-free, or available at any particular time, and we are not liable for outages, maintenance, or events outside our reasonable control.

9. Fees

The Service may be offered free of charge during early access. We may introduce paid plans in future; where we do, we will make the fees and billing terms clear before they apply to you, and continued use after that point constitutes acceptance of those terms.

10. Warranties and limitation of liability

Nothing in these Terms excludes, restricts, or modifies any guarantee, right, or remedy you have under the Australian Consumer Law (ACL) that cannot lawfully be excluded. To the extent permitted by law, we exclude all other warranties, whether express or implied.

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, or consequential loss, loss of profit, loss of data, or loss arising from your compliance failures or reliance on the Service. Where our liability cannot be excluded but can be limited, our total liability to you is limited, at our option, to re-supplying the Service or paying the amount you paid us for the Service in the 12 months before the claim.

11. Indemnity

You agree to indemnify us against claims, losses, and costs arising from Your Data, your use of the Service in breach of these Terms, or your breach of any law, including privacy laws.

12. Suspension and termination

You may close your account at any time. We may suspend or terminate access if you breach these Terms or use the Service in a way that risks harm to others or to the Service. On termination, we will delete or de-identify Your Data in accordance with our Privacy Policy, and you may export Your Data before your account is closed.

13. Changes to these terms

We may update these Terms from time to time. We will update the "last updated" date above and, where changes are significant, take reasonable steps to let you know. Continued use of the Service after changes take effect means you accept the updated Terms.

14. Governing law

These Terms are governed by the laws of New South Wales, Australia, and you and we submit to the non-exclusive jurisdiction of the courts of that State.
